Welcome to Caydo! These Terms of Use (the "Terms") govern your ("You") use of the Caydo APP (the "Service"). By using the Service, you agree that these Terms constitute a legally binding agreement between you and the Caydo contracting entity specified herein ("Caydo").

1. Overview
Caydo is a platform for user-customized art creation. The app provides tools to generate line art for digital oil paintings, bead art, and diamond paintings by converting user-uploaded images into ready-to-use templates. Additionally, the app offers a curated image library where users may select visuals to create handmade artworks. When using the Service, you may access content provided by Caydo and third-party providers ("Licensed Content"), subject to applicable content licensing agreements. You may also upload your own content ("User Content"), such as videos, images, and files, for which you retain full control and responsibility. You may use Licensed Content, User Content, and Caydo’s tools to create designs.
The Service is accessible via Caydo.com, Android and iOS app stores, and other platforms provided by Caydo. Your use of the Service is subject to these Terms and Caydo’s Acceptable Use Policy. By using the Service, you acknowledge and agree to Caydo’s policies.
To use the Service, you must have the legal capacity to enter into a binding contract with Caydo. By accessing the Service, you represent and warrant that you have the full right, authority, and permission to agree to these Terms and fulfill all obligations hereunder.

2. Service Description
2.1 Service Features
The Caydo app provides the following services:
Access and Download:
You may obtain digital content (e.g., images, templates, fonts) via subscription or one-time purchase ("Licensed Content"). Usage rights vary based on license type (personal/commercial). See Section 4 (Intellectual Property Provisions) for details.
User Uploads and Sharing (if applicable):
You may upload original content to the platform’s community. Other users may use such content under compliant licensing agreements. Caydo reserves the right to review and remove non-compliant content.
AI-Assisted Features (if applicable):
The Service provides AI-powered tools for content generation, editing, or recommendations. These features must be used in compliance with applicable laws, regulations, and the terms of this Agreement. You retain ownership and rights to content created using AI tools, but you assume full responsibility for any liabilities arising from misuse of AI-generated content.
2.2 Service Limitations
Export Controls:
You agree to comply with all applicable import, export, and re-export control laws and restrictions, including but not limited to regulations of the European Union and its member states, the U.S. Export Administration Regulations (“EAR”), economic sanctions enforced by the U.S. Office of Foreign Assets Control (“OFAC”), and the International Traffic in Arms Regulations (“ITAR”). You shall not use the Service to violate these laws or regulations. You agree not to use the Service to store or distribute export-controlled content unless you have obtained all necessary government export authorizations. Furthermore, you represent and warrant that you are not listed on any government restricted-party lists or subject to equivalent restrictions under the aforementioned laws, regulations, or your country’s applicable legislation. If you are located in a country or region subject to trade embargoes by the U.S. or EU governments (including Cuba, Iran, North Korea, Syria, and the Crimea region), you are prohibited from downloading or using the Service unless such use is expressly authorized by the U.S. and other relevant authorities. In the event of a breach of these commitments, Caydo reserves the right to terminate your access, delete stored information and data in accordance with regulatory requirements, and pursue legal remedies against you.
Device Compatibility:
The Service is optimized for officially supported operating systems and may not function on all devices.
Third-Party Dependencies:
Certain features (e.g., payments, social sharing) rely on third-party services governed by their respective terms.
2.3 Service Modifications and Termination
• Caydo reserves the right to modify, suspend, or terminate the Service (with 30 days’ notice for EU users and compliance with U.S. state/federal laws).
• If content is removed for compliance, paid users may request pro-rata refunds (per EU Consumer Rights Directive, Article 19).

3. Registration and Account Security
3.1 Account Responsibility
Use of the Service may require compatible devices, internet access, and certain software; may necessitate account creation to participate or access additional benefits; may require periodic updates; and may be subject to the performance of these factors. You agree that meeting these requirements is your responsibility.
You further agree that any information you provide and maintain (including your notification contact details) will be accurate, current, and complete. You agree not to impersonate or misrepresent your affiliation with any individual or entity, including using another person’s username, password, account information, name, likeness, or providing false parental/guardian information.
You agree that Caydo may take steps to verify the accuracy of the information you provide, including parental/guardian contact details. You acknowledge that you are responsible for all use of the Service under your account, and this Agreement applies to any and all use of your account.
You agree to comply with this Agreement and to defend, indemnify, and hold Caydo harmless from all claims and demands arising from the use of your account, whether such use was authorized by you or not.
3.2 Password Security
You will select a password and username. You are responsible for taking reasonable measures to maintain the confidentiality of your username and password, and for all activities under your account that are within your reasonable control. You agree to immediately notify us if you become aware of any unauthorized use of your username, password, or other account information, or any other security breach related to your account or the Service. We are not liable for any losses you incur due to the use of your password or account by others, whether with or without your knowledge. However, you may be held liable for losses incurred by Caydo or third parties resulting from such unauthorized use. You may not use another person’s account at any time without the account holder’s explicit permission.
3.3 Service Availability
The Service, or any part thereof, may not be available in all languages or regions. We do not guarantee that the Service or any of its features will be accessible or functional in any specific location. If you choose to access and use the Service, you do so voluntarily and are responsible for complying with all applicable laws.
3.4 Electronic Notices
Caydo may provide notices related to the Service, including changes to this Agreement, by email to your registered email address or by posting announcements on our website and/or within the Service. You consent to receive all notices, agreements, disclosures, and other communications electronically via the email address you provide. You agree that such electronic notices satisfy any legal requirement that communications be provided in writing.

4. Intellectual Property Provisions
4.1 Ownership
• The Service and all its content (including but not limited to images, icons, designs, trademarks, text, code, etc.) are protected by international copyright, trademark, and other intellectual property laws.
• Ownership and intellectual property rights in the Service belong to our company ("we") or our authorized partners, unless expressly stated otherwise.
• Users may not copy, modify, distribute, disseminate, or reverse-engineer any content within the Service without obtaining explicit written authorization.
Third-Party Content
The Service may include materials or content provided by third parties. Ownership and intellectual property rights in such content remain with the original authors. Users must comply with relevant licensing agreements and legal requirements when using such content.
4.2 Licensing and Usage
Licensing
• We grant users a limited, non-exclusive, non-transferable license to use materials within the Service in accordance with this Agreement.
• Users may only use materials within the authorized scope and shall not use them for illegal, infringing, or socially inappropriate purposes.
Usage Restrictions
• Users may not modify, copy, distribute, sublicense, resell, or otherwise commercialize materials unless explicitly authorized.
• Users may not attempt to reverse-engineer, decompile, or tamper with any part of the Service.
Commercial Use
If you intend to use materials for commercial purposes (e.g., advertising, publications, product design), you must ensure that you have purchased the appropriate commercial license or authorization.
4.3 Intellectual Property Requirements for the U.S. and EU Regions
4.3.1 European Union Intellectual Property Requirements
Copyright Protection
• Under the EU Copyright Directive (Directive on Copyright in the Digital Single Market), all materials uploaded to the Service are strictly protected by copyright laws.
• Users shall not upload unauthorized content. Violators will bear full legal liability.
Transparency and Responsibility
We commit to reviewing user-uploaded content. However, under EU legal frameworks, we, as the service provider, are not directly liable for user-generated content unless we fail to fulfill reasonable moderation obligations.
User-Generated Content
Content uploaded by users must be their original work or legally authorized for use. If uploaded content infringes third-party intellectual property rights, we reserve the right to remove such content and hold the user accountable for any resulting liabilities.
4.3.2 United States Intellectual Property Requirements
DMCA Compliance
We strictly adhere to the Digital Millennium Copyright Act (DMCA). If you believe your work has been used without authorization, please submit a copyright claim by following these steps:
• Provide a detailed description of the allegedly infringing material;
• Include your contact information;
• Declare your good-faith belief that the disputed use is not authorized by the copyright owner or its agent.
• Upon receiving a valid notice, we will act promptly to remove or disable access to the infringing content.
Fair Use Principle
The "fair use" doctrine under U.S. law does not apply to unauthorized commercial purposes. Users must ensure their use of materials complies with U.S. copyright regulations.
4.5 Trademark Protection
All trademarks, logos, and service names featured in the Service are the property of our company or its affiliates. No one may use these without prior written permission.
4.6 Intellectual Property of User-Uploaded Content
Licensing Scope
You retain ownership of the intellectual property rights to content you upload to the Service. However, you grant Caydo a worldwide, royalty-free, non-exclusive license to use, display, distribute, and promote such content within the Service.
Liability Statement
You are solely responsible for the legality of your uploaded content. You assume full liability for infringement disputes arising from AI-generated content. If your uploaded content triggers intellectual property disputes, you will bear all responsibilities and compensate Caydo for any losses incurred. We will remove the content within 24 hours of receiving a valid infringement notice. Repeated violations (three confirmed instances) will result in permanent suspension of access privileges.

5. Usage Rules
5.1 Age Requirements
The Service is available to individuals aged 13 years or older (or the higher minimum age required by the user’s jurisdiction). EU/EEA users must be at least 16 years old (some member states permit users aged 13–15 with parental consent under domestic laws). Users below the legal age must use the Service under verifiable parental/guardian consent and supervision. We do not knowingly collect, use, or disclose personal information from children under 13 (or the equivalent minimum age in their jurisdiction). Upon account closure for minors, we will permanently delete their data within 60 days. Guardians must complete real-name verification and sign a Guardian Consent Form to activate accounts for minors. Parents/guardians are advised to educate minors about online risks and supervise their use of the Service.
5.2 Service Modifications
The Service is continually evolving and may change over time. We reserve the right to modify, suspend, or discontinue the Service at any time. If required by law, we may also suspend, restrict, or terminate your access to the Service.
5.3 Third-Party Services or Platforms
The Service may integrate with or link to third-party websites, services, applications, platforms, or content. We do not control third parties or their products. You must review and agree to the terms and privacy policies of such third parties. We are not liable for failures, data breaches, or changes to third-party services. By using third-party devices to access the Service, you agree to comply with applicable third-party beneficiary terms.
5.4 Consent to Receive Communications
When using the Service, you may opt-in to receive communications via email, SMS, or push notifications. Standard SMS/call charges may apply. You acknowledge that SMS, calls, or pre-recorded messages may be generated by automated systems. To unsubscribe:
Follow "unsubscribe" instructions in emails;
Adjust settings within the Service;
Reply "STOP" to SMS messages.
Agreeing to promotional communications is not a condition for using the Service.
5.5 Service Permissions
Using the Service may require granting permissions for device/account access. Most platforms provide supplementary information about permissions and how to adjust them. By downloading, installing, or using the Service, you consent to automatic software updates (where applicable).
5.6 Informational and Entertainment Purposes
Unless explicitly stated, the Service is for personal, non-commercial use only and intended for informational/entertainment purposes. Content does not constitute legal, financial, professional, medical, or healthcare advice/diagnosis and must not be used as such.
5.7 Prohibited Commercial, Marketing, or Branding Use
You may not use the Service or Caydo’s intellectual property for commercial, marketing, or branding purposes (e.g., advertising, sales promotions, fundraising, or soliciting donations) without explicit permission.
5.8 Usage Restrictions
As a condition of using the Service, you agree to:
Use the Service only for permitted purposes under this Agreement and within the bounds of applicable laws and accepted practices.
Not disrupt, disable, overload, or harm Caydo’s systems, networks, or servers, or interfere with others’ use of the Service.
Comply with all technical restrictions to protect the integrity of the Service.
We reserve the right to take reasonable measures, including suspending your access, if your actions threaten the Service’s functionality. Repeated violations may result in termination of service.
Eligibility: You may not use the Service if prohibited by U.S. or applicable jurisdictional laws (including your country of residence or use). By accepting this Agreement, you confirm your understanding and acceptance of these terms.

6. Termination
We may terminate or suspend all or part of the Service immediately under specific circumstances without prior notice. Grounds for termination include:
(i) Violation of this Agreement or any other policies/guidelines referenced herein or published in the Service, including but not limited to breaches of intellectual property terms, export controls, or three confirmed copyright complaints;
(ii) Your request to terminate the Service;
(iii) Requirements or orders from law enforcement, judicial authorities, or government agencies;
(iv) Provision of the Service to you becoming or potentially becoming illegal;
(v) Unexpected technical or security issues;
(vi) Your involvement in fraudulent or illegal activities.
Any such termination or suspension is at our sole discretion. Caydo is not liable for any damages arising from the termination or suspension of your account and/or access to the Service.
After termination, you will lose all access to the Service. Additionally, we will delete information and data stored in or associated with your account after a period of time.

7. Disclaimer
Some jurisdictions do not allow the exclusion of certain warranties. To the extent prohibited by applicable law, the exclusions below may not apply to you.
Caydo shall provide the Service with reasonable skill and care. The following disclaimer is subject to this express warranty:
You expressly understand and agree that the Service is provided "as-is" and "as-available." Caydo is not liable for interruptions caused by force majeure events (e.g., natural disasters, government actions), third-party service failures (e.g., payment system outages), or user device issues. Caydo and its affiliates, subsidiaries, officers, directors, employees, agents, partners, and licensors expressly disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Specifically, Caydo does not warrant:
(I) That the Service will meet your requirements;
(II) Uninterrupted, secure, or error-free use of the Service;
(III) Accuracy or reliability of information obtained through the Service;
(IV) Protection against loss, damage, attacks, viruses, interference, hacking, or other security breaches;
(V) Correction of defects or errors in the Service’s software.
You assume all risks associated with downloading or obtaining materials through the Service. You are solely responsible for any damage to devices, computers, or data loss resulting from such downloads. You further acknowledge that the Service is not intended for use in situations or environments where failures, delays, errors, or inaccuracies in the Service’s content, data, or information could lead to death, personal injury, or severe physical or environmental damage.

8. Indemnification
If you use the Service on behalf of a business or legal entity, you agree to indemnify, defend, and hold harmless Caydo, its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal and accounting fees) arising from:
(a) Your access to or use of the Service;
(b) Your content;
(c) Your breach of these Terms.

9. Governing Law and Disputes
This Agreement is governed by and construed in accordance with the laws of Colorado and the United States, without regard to conflict of laws principles. Any legal action or proceeding arising from your use of the Service shall be brought exclusively in the state or federal courts located in Colorado. You and Caydo irrevocably consent to the jurisdiction of these courts and agree that they are the proper venue for any such action.
For users residing in the EU: You may choose to bring proceedings in the courts of your country of residence. For all other users: You agree to submit disputes to arbitration administered by the International Chamber of Commerce (ICC) in Amsterdam, Netherlands, and waive any right to participate in class actions.

10. Additional Terms
10.1 Entire Agreement
This Agreement constitutes the complete and exclusive understanding between you and Caydo regarding the Service, superseding all prior agreements. When using third-party services, content, or software, additional terms may apply.
10.2 Severability
If any provision of this Agreement is deemed invalid or unenforceable, it shall be severed without affecting the validity or enforceability of the remaining provisions. Caydo’s failure to enforce any right or term does not constitute a waiver.
10.3 Survival
Provisions intended to survive termination (e.g., Sections 3, 4, 5, 6, 7, dispute resolution, and general terms in Section 9) shall remain in effect. Caydo reserves the right to unilaterally amend these Terms to comply with legal changes. Continued use after amendments constitutes acceptance.
10.4 Waiver
No waiver of any term or right under this Agreement shall be deemed a continuing waiver. Caydo’s inaction on a breach does not waive future enforcement.

02. Privacy Policy

This Privacy Policy ("the Policy") aims to explain to you how we handle and treat your data when using the Caydo APP (hereinafter referred to as "the Product" or "the Service").

We place great importance on protecting your personal information and are committed to maintaining your trust in us. We promise to adopt appropriate security protection measures in accordance with generally applicable security standards in the industry to safeguard your personal information. However, it is important to note that this Policy does not apply to products or services provided by other third parties. If you use products or services provided by third parties, please pay attention to their user agreements and privacy policies.

Before using our products and services, please be sure to read this Policy carefully and fully understand it.

In this Policy, "you" or "your" refers to the individual whose personal data we process when providing services.

1. Information We Collect
1.1 Registration Information
When you use the Product and Service, we recommend that you register a Caydo account to fully utilize all the features of the Product and Service. To do so, you need to provide a mobile phone number (for real-name authentication) or an email address and create a password and nickname. After providing the above information and agreeing to Caydo's User Agreement and this Privacy Policy, you can use other product features and/or services of Caydo (as detailed in 1.2). If you do not provide the above information during account registration, you will not be able to enjoy core features and/or services that require identity verification (such as payment and social interaction). However, you can still use basic product features and services after exiting the registration page.
1.2 Feature Provision
·  User Services: When you file a complaint, make an inquiry, or submit an appeal to Caydo, to facilitate communication with you or help you resolve issues, we may require you to provide personal information such as your name, mobile phone number, email address, and other valid contact details. If you refuse to provide the above information, we may not be able to provide timely feedback on the relevant processing results.
·   Account Security: When you perform actions such as modifying your password, conducting security verification, or submitting an appeal, and if there are abnormal operations, we may require you to provide valid identity information to ensure the security of the above operations.
2. Information We May Indirectly Obtain from Third Parties
2.1 Third-Party Authorization
When you log in to Caydo using a third-party account (such as Google or Apple), you may choose to authorize Caydo to read and obtain public information (including nickname and avatar) registered, published, or recorded by you on that third-party platform, subject to compliance with relevant laws and regulations.

2.2 Third-Party Account Binding and Unbinding
Caydo requires your authorization to obtain the above information from third parties to remember your login identity as a Caydo user and provide you with better products and/or services. We will only collect and use your personal information within the scope of your authorized consent. After registering or logging in using a third-party account, your third-party account will be bound to your Caydo account.
2.3 Third-Party Payment Information
Only when purchasing any paid services through Caydo may you need to provide a valid payment method and relevant billing information, including your full real name, billing address, etc. Payment processors such as Stripe and PayPal will receive and process your payment information. We may also receive and store specific billing information, including the last four digits of the payment card number related to the transaction, depending on the payment processor.
3. Information Sharing and Disclosure
We will only process your personal data when permitted by law, that is, when we have a legal basis for processing. In accordance with applicable laws, we use your personal data in the following circumstances:

·  "Performance of a Contract": We need to perform a contract that we are about to enter into or have entered into with you as a party or take measures at your request before entering into such a contract.
·  "Legal or Regulatory Obligations": We need to comply with legal or regulatory obligations to which we are subject.
·  "Legitimate Interests": This refers to the necessity for our (or a third party's) interests, provided that your fundamental rights do not override such interests. 4. Caydo's Use of Your Personal Information Based on Other Special Circumstances
If you believe that your relevant rights have been infringed upon, you may file a complaint or report in accordance with our infringement complaint process and through the contact information we have publicly disclosed. During this process, we will require you to provide valid personal identity information to verify the authenticity of the complaint or report. Meanwhile, if you apply to remove the abnormal status of your Caydo account, we may also require you to provide valid identity information for verification. This is sensitive personal information, and we will take strict confidentiality measures and will not share it with third parties.

Please understand that the functions and services we provide to you are constantly updated and developed. If we intend to use your personal information for purposes not stated in this Policy or use the collected information for other purposes based on specific objectives, we will inform you in a reasonable manner (such as through page prompts, interactive processes, website announcements, etc.) and obtain your consent again before use.

5. How We Protect Your Personal Information
We take reasonable physical, technical, and managerial measures to protect your personal information from unauthorized access, disclosure, or destruction. However, please note that no method of internet transmission or electronic storage is completely secure.

6. Children's Privacy
·   We place particular emphasis on protecting children's personal information. If you are under the age of 13, before using our products and/or services, please be sure to read this Policy in the company of your guardian and ensure that you have obtained your guardian's explicit consent before using our services and providing us with your personal information.
·   For the collection of children's personal information with the consent of the guardian, we will only use, share, transfer, or disclose such information when permitted by laws and regulations, with the explicit consent of the guardian, or when necessary to protect the child.
·   If your guardian does not consent to your use of our services or providing us with personal information in accordance with this Policy, please immediately terminate the use of our services and notify us promptly.
·   If you have any questions about your child's use of our products/services or the user information they provide to us, please contact us in a timely manner.
7. International Visitors
Our services are hosted in the United States and are intended for visitors located within the United States. If you choose to use our services from the European Economic Area, the United Kingdom, or other countries or regions in the world ("Other Regions"), where laws regarding the collection and use of data may differ from U.S. law, please note that you will be transferring your personal information from those regions to the United States for storage and processing. We may transfer personal information from Other Regions to the United States as necessary to perform the services you have requested from us or with your consent. Additionally, we may transfer your data from the United States to Other Regions in the course of storing and processing data, fulfilling your requests, and operating our services. By providing any personal information on or to our services, you consent to such transfer, storage, and processing.

We reserve the right to modify this Privacy Policy at any time at our sole discretion. For example, we may modify this Privacy Policy to respond to new developments in applicable consumer privacy laws or to comply with changing industry practices. If we make significant changes to how we use or share personal information previously collected through our services, we will publicly announce and publish such changes on our services. If you are a registered user, we may also notify you of the changes by email and may require you to explicitly agree to and accept the changes when you next log in to your service account. By continuing to use our services, you are bound by the modified Privacy Policy.

10.2 Legal Basis for Processing Personal Information in Europe or the UK
10.2.1 If you are located in the European Economic Area or the UK, we only process your personal information when we have a valid "legal basis," including:

·   Contractual Necessity: We need your personal information to provide you with our services, for example, responding to your inquiries.
·   Compliance with Legal Obligations: We have a legal obligation to use your personal information, for example, complying with tax and accounting obligations.
·   Legitimate Interests: We or a third party have a legitimate interest in using your personal information. Specifically, we have a legitimate interest in using your personal information for product development and internal analysis purposes, as well as other uses to enhance the security and performance of our services.
